L3Harris Replaces CEO Kubasik After Conduct Investigation

L3Harris Technologies abruptly changed leadership after an internal board investigation concluded that CEO Christopher Kubasik violated company conduct standards. The move sent a clear message that the defense giant was willing to act fast, even while stressing that the issue had nothing to do with finances, customer dealings, or day-to-day operations.

The company said it learned of conduct that did not fit its code of conduct and brought in outside counsel to help sort through the matter. While the specific behavior was not disclosed, the board decided a separation agreement was the cleanest path forward.

Sam Mehta has now taken over as CEO, stepping into the role at a company with a big footprint in aerospace and defense. Mehta joined L3Harris in 2023 and brings 25 years of industry experience, most recently leading the space and mission systems and communications and spectrum dominance businesses.

That transition matters because those two segments are not side projects. They account for more than 80% of L3Harris’ total revenue, which means Mehta is walking straight into the heart of the company’s business engine.

Lewis Hay III, the lead independent director, is now chairman of the board and praised Mehta as a steady hand with a deep grasp of the company’s culture and priorities. He also framed the handoff as proof that the company had succession planning in place and was ready to use it.

Mehta, for his part, sounded confident and measured in his first remarks as CEO. He said he was honored to lead the company and pointed to L3Harris’ portfolio as being built for the future of warfare, with room to keep pushing a focused growth strategy.

Kubasik’s exit closes a long chapter at the company, where he played a major role in shaping the modern L3Harris. He helped steer the 2019 merger of L3 and Harris Corp., later became CEO in 2021, and oversaw the 2023 purchase of Aerojet Rocketdyne for $4.7 billion.

His departure also comes after a period of broader restructuring. In January, L3Harris announced plans to spin off its missile solutions unit, with the Pentagon set to take a $1 billion stake in the new company, though that move was later pushed back until at least mid-2027.

The terms of the separation were also notable. Reuters reported that Kubasik will not receive severance, benefits, or equity incentive awards, though he can keep and exercise stock options that had already vested under the company’s plans.

The market reaction was brisk, with L3Harris shares taking a hit as investors absorbed the leadership shake-up. That kind of drop is not unusual when a defense contractor loses a top executive under a cloud, especially when the company is in the middle of strategic shifts and major program decisions.

Even with the disruption, the board sounded determined to keep the company moving without losing momentum. The leadership change puts Mehta in the spotlight at a moment when defense demand, portfolio reshaping, and internal discipline all sit on the same crowded stage.
